Term Service Policy

Additional terms and conditions for using Keploy services

KEPLOY INC OR, WHERE APPLICABLE, THE KEPLOY AFFILIATE IDENTIFIED IN THE APPLICABLE ORDER FORM OR SUBSCRIPTION AGREEMENT (“WE”, “OUR”, “US”, “COMPANY” OR “KEPLOY”) ARE HAPPY TO PROVIDE YOU ("CUSTOMER" OR "YOU") WITH OUR SERVICES AND WELCOME YOU TO OUR PLATFORM AND OUR WEBSITE. THE FOLLOWING TERMS OF SERVICE STIPULATE THE TERMS AND CONDITIONS OF OUR PROVISION OF THE SERVICES AND YOUR USE OF THE SERVICES AND PLATFORM.

These Terms ("Terms") apply to your access and use of Keploy Services and Platform.

Acceptance Required

By accepting these Terms electronically, by subscribing to the Services, by clicking a box indicating your acceptance, or by accessing or using our Platform, you agree to these Terms.

§Binding Authority

If you are entering into these Terms on behalf of a company or another legal entity, you represent that you have the authority to bind such entity to these Terms. If the legal entity does not agree with these Terms, you must not accept these Terms or use the Services or Platform.

The Website or the Services may be subject to additional guidelines, terms, or rules, including:

Our Privacy Policy

The Privacy Policy and any Order Form (including pricing/plan terms applicable to Customer’s subscription) are incorporated by reference. In the event of a conflict, the Order Form (or subscription agreement) will control over these Terms, and these Terms will control over the Privacy Policy for contractual matters.

License; Services; Account

License Grant

Subject to Your compliance with these Terms (including payment of any Fees), Keploy grants Customer a non-exclusive, non-transferable, non-sublicensable (other than to Your Users), time-limited, revocable right and license to use and access the Website, Services, and Platform, solely for Your internal business purposes.

§Account Registration

Customer must register and establish an account with Keploy to use the Services. By registering an Account, You represent that:

You are entitled to disclose the information provided in such registration, without breach of any obligations or violation of any rights of third parties
If you are an individual, you are at least 18 years old or of sufficient legal age to accept these Terms in accordance with the laws of your jurisdiction

§SSO Registration

You may register an Account by logging into your account with certain third-party service accounts ("SSO") including, but not limited to, Google and GitHub. By registering through SSO, you represent that you are entitled to disclose your Third-Party Account login information to Keploy.

§Access Requirements

To enable delivery of the Services, Customer must allow Keploy's IP addresses and servers to access Customer's cloud assets and/or virtual private cloud, as applicable. You must manage and secure all login credentials used by Users.

Open Source Components

You acknowledge that certain software components of the Services may be covered by open-source licenses. You will comply with the applicable license terms governing such Open-Source Components.

Restrictions on Use

Prohibited Activities

You must not misuse the Services. Except as otherwise expressly permitted, you must not, nor attempt, assist, or permit anyone else to:

(a) Make available or use the Keploy Content for the benefit of any third party
(b) Sell, resell, license, sublicense, distribute, rent, or lease the Website, Services, or Platform for commercial purposes
(c) Use the Services to transmit illegal, immoral, or unauthorized materials, or collect personal data without consent
(d) Transmit any malicious code, including viruses, worms, or spyware
(e) Interfere with the integrity, performance, or operation of the Services
(f) Gain unauthorized access or bypass any security measures
(g) Copy, modify, reverse engineer, or decompile the Services
(h) Use Keploy's technology to build or train a competitive product
(i) Misrepresent your affiliation with Keploy
(j) Use Keploy's name, trademarks, or materials without explicit permission
(k) Claim any proprietary interest in the Services or Keploy Content
(l) Violate Keploy's Acceptable Use Policy

Acknowledgement

By using Keploy's Services, you acknowledge and agree to these Terms. Failure to comply may result in suspension or termination of your access to the Services.
